Live Webcast | Green Flags: Smooth Sailing Ahead (2024 Corporate Counsel Section CLE)

Hopefully, you joined the Corporate Counsel Section for the Red Flags: Navigating the Hurricane in February. Now it is time to talk about green flags — those proactive steps you can take to help your company experience smooth sailing! (The Red Flags CLE is not a prerequisite, so please join us even if you were not able to attend in February, however, the Red Flags CLE is now available On-Demand to watch at your convenience.)

Being skilled at negotiating, able to anticipate key transactional tax issues, and able to understand the conditions required to preserve privilege in the in-house setting are advantages for in-house legal counsel that can help your organization reduce risk and overcome challenges. The Corporate Counsel Section is pleased to present our second-half portion of our annual CLE, Green Flags: Smooth Sailing Ahead.

Learn how to use social science to "Navigate Unfriendly Ports and Prevent Mutinies"! This session blends social science theories and practical strategies using social science literature on interpersonal interaction, decision architecture, and negotiation and the speaker's experience as deal and litigation counsel to bring a deeper awareness of basic human tendencies that drive outcomes and how they can help us navigate difficult opponents, manage unfavorable situations, counter hard-bargaining tactics, and overcome communication breakdowns when dealing with team members and opponents.

Which chats benefit from privilege? The "Keeping In-House Counsel Privilege at an Even Keel" session in this CLE program provides you with a solid understanding of recent developments regarding maintaining attorney-client privilege and maintaining confidentiality of private conversations between in-house lawyers and their internal clients, with important practice tips related to discussions that mix legal and other advice.

Lastly, we've included an important but sometimes overlooked topic with "Forewarned Is Forearmed: Tax Considerations in M&A for In-House Counsel." Explore impactful tax considerations in M&A transactions as they relate to a multitude of business formation types, including C-corporations and LLCs, with simple advice for in-house corporate counsel on complex topics, including an introduction to Up-C and deSPAC acquisitions and the Section 1202 exclusion for qualified small business stock.

Join us for this half-day CLE program that is designed to make legal considerations in corporate deals clear and practical, providing useful tips along the way, as well as an opportunity to connect with your Corporate Counsel Section colleagues in person for these interesting topics!
